1. Acceptance of these terms
These Terms & Conditions (“Terms”) are a contract between you and Collabodirect for use of our website, mobile app, and related services (the “Service”). By creating an account, tapping Sign In, posting a job, applying to a campaign, or using the site, you agree to these Terms and to our Privacy Policy.
If you use Collabodirect for a company, you confirm you have authority to bind that company.
2. The service
Collabodirect is a marketplace that helps brands and creators find each other, agree work, chat, fund orders, and track delivery on platforms such as Instagram, TikTok, and YouTube. We provide the tools. We are not the brand, the creator, or a party to the campaign contract unless we say so in writing.
Features may change. We may add, pause, or remove tools such as search, bookmarks, wallet, promote, or chat.
3. Accounts
- You must provide accurate information and keep your profile up to date.
- You must be old enough to form a binding contract in your country (and at least 16).
- You are responsible for your password and for activity on your account.
- One person or business should not create fake accounts to manipulate jobs, ratings, or applications.
- You may delete your account in Profile. We may keep records needed for payments, disputes, or law.
4. Brands and creators
Brands (shops, agencies, or businesses) may post jobs, review applications, fund orders, and mark work complete. You must have the right to run the campaign and to use any brief, logo, or product you share.
Creators may apply, chat, deliver content, and receive payment for accepted work. You must have the right to post on the platforms you list and to grant the license described in the job or in these Terms.
Both sides must deal in good faith, meet agreed delivery times, and not misrepresent followers, budgets, or identity.
5. Jobs, applications, and orders
- Job posts must be lawful, clear, and not discriminatory in a way that breaks applicable law.
- An application is an offer. A hire or funded order is when both sides have a binding campaign for that job, together with any extra terms you write in chat.
- Statuses such as Active, Completed, Canceled, Hired, and Order Funded are operational labels. They do not replace your duty to keep your own records.
- Collabodirect may remove a job or cancel an order that breaks these Terms or looks fraudulent.
- Disputes between a brand and a creator should first be handled in-app. We may help review reports but are not a court or guaranteed escrow unless a specific funded-order product says so.
6. Payments, fees, and wallet
Budgets, offer prices, and “total earned” figures shown in the app are based on information you and payment partners provide. Payment processors may charge fees. Taxes are your responsibility.
If an order is funded, the brand must not reverse or charge back without a valid reason (for example non-delivery after a fair chance to fix). Creators must not mark work complete if it was not delivered as agreed. We may withhold, reverse, or delay payouts while we investigate fraud or a dispute.
7. Acceptable use
You agree not to:
- Break the law or the rules of Instagram, TikTok, YouTube, or other platforms you use
- Post hate, harassment, sexual content involving minors, scams, or malware
- Spam jobs, scrape the Service, or use bots without our written permission
- Impersonate another person or brand
- Bypass fees, funded-order flows, or safety checks
- Share another user’s private chat or personal data without permission
We may suspend accounts that we reasonably believe violate this section.
8. Your content
You keep ownership of content you upload (profile photos, job briefs, chat, deliverables you create). You grant Collabodirect a worldwide, non-exclusive license to host, display, and transmit that content as needed to operate the Service (for example showing a job card or profile).
Between brand and creator, unless you agree otherwise in writing: the brand receives a license to use delivered campaign content for the campaign purpose, and the creator keeps copyright in their original work except for that license.
9. Collabodirect rights
The app name, logo, chat-bubble mark, website design, and software are owned by us or our licensors. You may not copy the brand, scrape listings, or reverse engineer the app except where the law allows.
10. Disclaimers
The Service is provided “as is.” We do not promise that a campaign will meet a sales target, that a creator’s audience is accurate, or that the app will be error-free or always online. You use third-party platforms at your own risk and must follow their terms.
11. Limitation of liability
To the fullest extent allowed by law, Collabodirect is not liable for indirect, incidental, special, or consequential damages, or for lost profits, lost data, or lost campaigns. Our total liability for any claim relating to the Service is limited to the greater of (a) the fees you paid us in the 3 months before the claim or (b) USD 100. Some places do not allow these limits; in those places our liability is limited to the maximum the law allows.
12. Suspension and ending the contract
You may stop using the Service and delete your account at any time. We may suspend or end access if you break these Terms, if required by law, or if we shut down the Service. Sections that should survive (including payments already due, content licenses already granted, disclaimers, and liability limits) stay in effect.
13. Governing law
These Terms are governed by the laws of the jurisdiction where Collabodirect is established, without regard to conflict-of-law rules, unless a mandatory consumer law in your country says otherwise. Courts in that jurisdiction will have venue, except where the law gives you the right to sue where you live.
